1. Definitions and interpretation

These Terms apply to all quotations, sales, rentals, installations, maintenance services and supplies by Theraposture Ltd.

‘Consumer’ means an individual acting outside their trade or profession. ‘Business Customer’ includes companies, Local Authorities, NHS Trusts, ICBs, care providers and public bodies. ‘Specialist Equipment’ includes rotating beds, combination rotating beds, profiling beds, care cots, Theracare Chairs and chair beds. Nothing in these Terms limits statutory consumer rights.

3. Quotations, orders and contract formation

Quotations are invitations to treat and are not binding offers. A contract is formed when Theraposture accepts an order, accepts payment, commences manufacture/procurement, or confirms a delivery/assessment appointment. Customers are responsible for approving specifications and measurements. Remade or modified products require a separate Remake Agreement and are generally non-returnable except where faulty.

4. Prices, VAT and payment

Prices are in GBP. Valid VAT exemption documentation must be supplied before invoicing. Business Customers, Local Authorities, NHS Trusts and ICBs must pay within 30 days unless otherwise agreed. Deposits may be required. Statutory interest and recovery costs may be charged on overdue commercial accounts.

5. Delivery, installation, risk and rental equipment

Delivery dates are estimates only. Customers are responsible for ensuring safe access, adequate space and site readiness. Unless a site survey, FAA or CDA has been carried out by Theraposture, the Customer remains responsible for ensuring equipment can be delivered and installed.

Risk passes on delivery and installation. Ownership remains with Theraposture until paid in full. Theraposture may inspect or recover unpaid goods subject to applicable law.

Where goods are supplied under rental, hire or rent-to-own arrangements, separate Rental Terms apply and take precedence in the event of conflict.

6. Suitability assurance, returns and exchanges

Suitability Assurance policies are voluntary commercial benefits and form part of the contract where applicable. In the event of conflict, the product-specific Suitability Assurance document takes precedence.

Rotating Beds and Combination Rotating Beds are subject to their dedicated Returns Policy and Suitability Assurance documentation. Combination Rotating Beds are integrated dual-occupancy systems and any return, exchange or adjustment applies to the complete system unless agreed otherwise in writing.

Theracare Chairs and Chair Beds are non-refundable after delivery and installation unless faulty or incorrectly supplied. However, they may be exchanged once within 14 days for an alternative Theraposture product of equal or greater value provided the item is returned in As New Condition. Additional collection, delivery, installation or upgrade costs may apply.

Standard Goods may be returned in accordance with applicable consumer legislation and Theraposture return requirements.

7. Inspection, damage, faults, repairs and replacements

Customers should inspect goods on delivery and report visible damage promptly. Where faults arise during warranty, Theraposture may inspect, repair, replace components, provide replacement products, or offer an appropriate refund or price reduction where legally required. Reasonable inspection or call-out charges may apply where no fault is found or misuse is identified.

8. Warranty

New products include the applicable Bronze, Silver, Gold or Gold Plus warranty package. Refurbished products include a 12‑month parts and labour warranty. Trade customers receive a 12‑month parts exchange warranty unless agreed otherwise.

Mattresses and foam components carry a 12‑month warranty subject to fair wear and tear.

Warranty claims should be reported as soon as reasonably practicable after discovery.

Equipment must be operated in accordance with supplied instructions. Theraposture recommends periodic servicing for equipment remaining in long-term use.

Software, firmware and electronic control systems may be replaced with functionally equivalent components where originals are obsolete or unavailable.

9. Out-of-warranty services, relocations and spare parts

Out-of-warranty visits are chargeable. No technician will be dispatched until payment is received or a valid Purchase Order is provided.

Customers remain responsible for ensuring equipment will fit into any new property following relocation.

Theraposture provides a workmanship warranty of three months on repairs carried out by its technicians.

Equivalent spare parts may be supplied where original components are discontinued or unavailable.

10. Intellectual property

All intellectual property rights in Theraposture products, designs, technical drawings, website content, photographs, brochures and marketing materials remain the property of Theraposture Ltd or its licensors.

11. Data protection

Both parties shall comply with UK GDPR and the Data Protection Act 2018. Personal and clinical information will only be processed where reasonably necessary to provide assessments, delivery, installation, servicing, warranty support and contractual administration.

12. Limitation of liability

Nothing limits liability for death or personal injury caused by negligence, fraud or any liability that cannot legally be excluded. Business Customers cannot recover indirect or consequential losses. Liability is limited to the amount paid under the relevant contract except where prohibited by law.

Customers must use equipment in accordance with supplied instructions. Theraposture is not liable for loss arising from misuse, unauthorised modification or operation outside intended use.

13. Force majeure

Theraposture is not liable for delays or failures caused by events outside its reasonable control including supply-chain disruption, severe weather, industrial disputes, pandemics, government action, cyber incidents or utility failures.

14. Exports and international sales

International sales are governed by Incoterms® 2020 unless otherwise agreed. Customers are responsible for customs clearance, duties, import VAT and local regulatory compliance. CISG is excluded.

15. General

Notices may be served by email or post. Invalid provisions shall be severed without affecting the remainder of the Terms. Electronic signatures, scanned signatures, acceptance by email and electronically approved purchase orders are valid and binding. Complaints should be submitted to info@theraposture.co.uk. These Terms are governed by the laws of England and Wales.
